These Terms of Service (the “Terms”) govern access to and use of neuroplugin.com (the “Site”), the support channels operated by the publisher, and any commercial dealings with YCY Consulting and Investment SL (trading as Neuroplugin, hereafter “we”, “us”, “the publisher”) that are not exclusively governed by the End User License Agreement bundled with a specific module.
For the licensing terms of a specific product, please refer to the LICENSE file shipped with that module, which prevails over these Terms for licensing matters.
1. Acceptance
By accessing the Site, contacting the publisher, or purchasing a license, you accept these Terms in full. If you do not agree, please do not use the Site or the published modules.
2. Identification of the publisher
- Legal name: YCY Consulting and Investment SL
- Trading name: Neuroplugin
- Registered office: Madrid, Spain
- Tax ID (NIF): B22450688
- Contact: through the contact form on this Site or the support address listed on the relevant marketplace product page.
3. Use of the Site
You agree to:
- Use the Site only for lawful purposes.
- Not attempt to interfere with the operation of the Site, including but not limited to scraping at a rate that imposes an unreasonable load, exploiting vulnerabilities, or distributing malware through the Site.
- Not impersonate any other person or entity.
- Respect the publisher's intellectual property rights as described in the Legal Notice.
4. Purchases and licensing
Software products distributed under the Neuroplugin brand are licensed, not sold. Each license is governed by the End User License Agreement (LICENSE) shipped with the product. Where the product is distributed through a third-party marketplace (such as the PrestaShop Addons Marketplace or the Shopify App Store), the marketplace's own purchase terms also apply.
In summary, unless the bundled LICENSE states otherwise:
- Each license covers one production store plus its associated staging and development copies.
- Modifying the source code for the customer's own integration use is permitted; redistributing the source or modified versions to third parties is not.
- The license includes updates and security patches for the support window stated at the time of purchase.
- Support is provided on a best-effort basis during the support window for the supported PrestaShop or Shopify version range.
5. Refunds
Refunds are governed by the marketplace through which the license was purchased (PrestaShop Addons, Shopify App Store, etc.). For direct purchases, refunds are considered on a case-by-case basis within 14 days of the purchase date, in accordance with Spanish consumer legislation when applicable.
Because the products are digital goods, you accept that once installed and activated, the right of withdrawal under Article 103(m) of the Spanish General Law for the Defence of Consumers and Users (TRLGDCU) does not apply.
6. Warranty disclaimer and liability cap
To the maximum extent permitted by law, the publisher provides the Site, the published modules, and the support services “AS IS”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
The publisher's total cumulative liability arising out of or relating to these Terms shall not exceed the amount actually paid by the customer for the relevant license in the twelve (12) months preceding the claim. The publisher shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Spanish law (such as liability for gross negligence or willful misconduct).
7. Privacy and cookies
The processing of personal data through the Site is governed by our Privacy Policy. The use of cookies is governed by our Cookie Policy.
8. Modifications
We may modify these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Material changes will be communicated through the Site or, where applicable, by email to the licensee's registered contact address.
9. Governing law and jurisdiction
These Terms are governed by Spanish law. Any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, except where mandatory consumer law assigns jurisdiction to the consumer's place of residence within the European Union.
10. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid provision that most closely matches the original intent.
